Terms & Conditions TERMS AND CONDITIONS FOR YOUR USE OF THE LANGUAGE LINE® PERSONAL INTERPRETER SERVICE Please read this Agreement carefully. Your use of the Service constitutes acceptance of all these terms and conditions (sometimes referred to as the Agreement). Language Line Services, Inc., a Delaware corporation ("LanguageLine") and you, the Customer, agree that the terms and conditions in this Agreement apply to your use of the LanguageLine® Personal Interpreter Service (the "Service"). 1. Registration and Accounts. If you establish an account with us, you agree to provide true and accurate data about yourself on our account registration form, and to update and keep such data current. You will receive a password and account upon completing the registration form. You are solely responsible for maintaining the confidentiality of your password and account, and you are solely responsible for all use of your password or account, whether authorized by you or not. You shall not allow other persons access to or use of such username or password. You shall not post your username or password on any website nor transmit it through unsecured sites. You agree to (a) immediately notify LanguageLine of any unauthorized use of your password or account or any other breach of security and (b) ensure that you exit from your account each time you use the Service. Access and use of password-protected and/or secure areas of the Service is restricted to users who have been given a valid password by LanguageLine. We may terminate your account and access to the Service if we learn that you have provided us with false or misleading registration data. If we feel your username and password are insecure or otherwise problematic, we may require you to change it or terminate your account. 2. Charges and Payments - The fees you will be charged for using the Service are identified on the website for the Service. https://www.languageline.com/interpreting/personal-interpreter. THE FEES ARE SUBJECT TO CHANGE FROM TIME TO TIME AND THE THEN-CURRENT RATES WILL APPLY TO YOUR USE OF THE SERVICE. The fees will be charged to the credit card on file with us for your account. Your credit card information will be kept in a secure, encrypted environment. You credit card details will be captured by LanguageLine when you submit an order for use of the Service. If we cannot validate your credit card, you will be contacted by LanguageLine for order confirmation and payment details prior to your ability to use the Service. 3. Your Use of the Service. 3A. Personal Use Only. You represent that you will only use the Service for you own personal or business internal purposes and not for re-sale. 3B. Prohibited Uses. The following uses of the Service are prohibited: the transmission of any message or other material which constitutes an infringement of any copyright, patent or trademark; an unauthorized disclosure of a trade secret; the transfer of any information or technology abroad in violation of any applicable export law or regulation; a violation of Section 223 of the Communications Act of 1934, as amended, 47 U.S.C. Section 223, or other criminal prohibitions regarding the use of telephones to transmit obscene, threatening, harassing or other messages specified therein; a libelous or slanderous statement; or a violation of any other applicable statute or government regulation. 3C. Your Indemnification Responsibility. You agree to defend and indemnify LanguageLine, its affiliates and their respective successors and to hold them harmless from any claim or action whatsoever arising from the use of the Service in any manner prohibited by this Section. 4. Privacy of Information and Communications - In providing the Service, LanguageLine will make reasonable efforts to ensure the privacy of your information and communications and will comply with current laws regarding the privacy of your information. We use the information we collect from you for our internal business purposes and may share that information with our affiliated businesses. Under applicable law, LanguageLine may be obligated to reveal information or communications which evidence or constitute criminal activity. That said, unfortunately, no transmission of data is guaranteed to be completely secure. It may be possible for third parties not under our control to intercept or access transmissions or private communications unlawfully. Therefore, any transmission of your personal information, including your credit card information, to us is made at your own risk 5. Disclaimer of Warranty. LANGUAGELINE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE, EXPRESS OR IMPLIED, ABOUT THE SERVICE, INCLUDING BUT NOT LIMITED TO THE AVAILABILITY, ACCURACY, COMPLETENESS OR TIMELINESS OF ANY INTERPRETATION OR TRANSLATION. LANGUAGELINE DOES NOT WARRANT THE AVAILABILITY OF INTERPRETERS FOR ALL LANGUAGE PAIRS AT ALL TIMES, AND LANGUAGELINE SPECIFICALLY DISCLAIMS ANY WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CUSTOMER RECOGNIZES THAT OVER-THE-PHONE INTERPRETATIONS AND DOCUMENT TRANSLATIONS MAY NOT BE ENTIRELY ACCURATE IN ALL CASES. 6. Exclusive Remedy and Limitation of Liability. 6A. FOR PURPOSES OF THE EXCLUSIVE REMEDY AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION, "LANGUAGELINE" SHALL BE DEEMED TO INCLUDE LANGUAGE LINE, LLC, ITS AFFILIATES AND THEIR RESPECTIVE SUCCESSORS, AND THE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUPPLIERS, SUBCONTRACTORS, TRANSLATORS AND INTERPRETERS (WHETHER EMPLOYEES OR INDEPENDENT CONTRACTORS) OF LANGUAGELINE, AND "DAMAGES" WILL REFER COLLECTIVELY TO ALL INJURY, DAMAGE, LOSS OR EXPENSE INCURRED. 6B. LANGUAGELINE CHARGES FOR THE SERVICE ARE ESTABLISHED IN RELIANCE ON THE EXCLUSIVE REMEDY AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION. CUSTOMER ACKNOWLEDGES THAT IT ELECTS TO ACCEPT CHARGES CALCULATED ON THIS BASIS, AND AGREES THAT THIS ALLOCATION OF RISK OF LIABILITY IS FAIR, REASONABLE, AND NOT UNCONSCIONABLE. CUSTOMER UNDERSTANDS AND ACKNOWLEDGES THAT THE CHARGES FOR THE SERVICE ARE UNRELATED TO THE VALUE OF CUSTOMER'S BUSINESS OR THE POTENTIAL FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, AND SPECIAL DAMAGES OR ANY OTHER DAMAGES IN EXCESS OF THOSE ALLOWED BY THIS SECTION. YOU RETAIN THE RIGHT TO PURCHASE INSURANCE TO COVER ANY ADDITIONAL LOSS OR LIABILITY. 6C. IN ACCORDANCE WITH THE UNDERSTANDINGS SET FORTH ABOVE, THE PARTIES AGREE AS FOLLOWS: LANGUAGELINE'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR DAMAGES CAUSED BY DEFECT OR FAILURE OF THE SERVICE OR ARISING FROM THE PERFORMANCE OR NONPERFORMANCE OF ANY SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, SHALL BE LIMITED TO A CREDIT OR REFUND OF THE CHARGES FOR THE SERVICE WHICH GAVE RISE TO THE CLAIM. LANGUAGELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, SAVINGS OR REVENUES OF ANY KIND, WHETHER OR NOT LANGUAGELINE HAD KNOWLEDGE, ACTUAL OR CONSTRUCTIVE, THAT SUCH DAMAGES MIGHT BE INCURRED. THIS SUBSECTION SHALL SURVIVE FAILURE OF AN EXCLUSIVE REMEDY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF DAMAGES, LANGUAGELINE'S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY THE LAW OF SUCH JURISDICTION. IN ADDITION, BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF CERTAIN WARRANTIES, THE DISCLAIMERS SET FORTH ABOVE MAY NOT APPLY TO YOU. 7. Subcontracts. LanguageLine may subcontract any or all of the Service to be performed to third parties, including independent interpreters, but, subject to the exclusive remedies and limitations of liability set forth in these Terms and Conditions, it shall retain responsibility for the work that is subcontracted. 8. Force Majeure. Neither LanguageLine, its affiliates nor their respective successors shall be liable in any way for any loss, damage, delay or failure of performance resulting directly or indirectly from any cause which is beyond LanguageLine' control, including but not limited to: fire, explosion, lightning, pest damage, power surges or failures, strikes or labor disputes, water, acts of God, the elements, war, civil disturbances, acts of civil or military authorities or the public enemy, inability to secure raw materials, product or transportation facilities, fuel or energy shortages, acts or omissions of communications carriers, or any other cause beyond LanguageLine' control whether or not similar to the foregoing. 9. Supplement, Modification or Waiver. Any supplement, modification or waiver of any provision of this Agreement must be in writing and signed by authorized representatives of LanguageLine. 10. Waiver and Failure to Exercise Rights. The waiver by either party of any breach of this Agreement shall not operate as a waiver of subsequent breaches of the same or different kind. The failure of either party to exercise any rights under this Agreement in a particular instance shall not operate as a waiver of the party's right to exercise the same or different rights in other instances. 11. Survival of Obligations. The obligations of the parties under this Agreement which by their nature would continue beyond the termination or cancellation of this Agreement shall survive such termination or cancellation. 12. No Third-Party Beneficiaries. Neither this Agreement nor the provision of the Service shall be construed to create any duty or obligation on the part of LanguageLine to any third parties, including, without limitation, any persons participating in or the subject of conversations for which the Service are provided. This Agreement does not provide any third party with any right, privilege, remedy, claim or cause of action against LanguageLine, its affiliates or their respective successors. 13. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed from this Agreement with respect to the matter in question, and the remainder of the Agreement shall remain in full force and effect. 14. Termination. In its sole and absolute discretion, with or without notice to you, LanguageLine may suspend or terminate your use of and access to the Service, terminate your account and/or remove and discard anything transmitted by you, or information stored, sent, or received via the Service without prior notice and for any reason, including, but not limited to: (i) concurrent access of the Service with identical user identification, (ii) permitting another person or entity to use your user identification to access the Service, (iii) any unauthorized access or use of the Service, (iv) any violation of these Terms, (v) tampering with or alteration of any of the software and/or data files contained in, or accessed through, the Service, or (vi) failure to use the Service on a regular basis. Such suspension or termination may include, but not be limited to, suspension or termination of access or rights to receive any content. You may terminate your account for any reason by emailing LanguageLine at CustomerCare@LanguageLine.com. LanguageLine shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension of the Service. Termination, suspension, or cancellation of the Service or your access rights shall not affect any right or relief to which LanguageLine may be entitled, at law or in equity, and all rights granted to you will automatically terminate and immediately revert to LanguageLine. 15. Choice of Law; Jurisdiction and Venue. The construction, interpretation and performance of this Agreement shall be governed by the domestic laws of the State of California. The sole and exclusive jurisdiction for any disputes relating to this Agreement shall be the Superior Court, State of California, located in Monterey, California or, if applicable, Small Claims Court, State of California, located in Monterey, California. You agree to the exclusive personal and subject matter jurisdiction of these courts and waive any right to challenge such jurisdiction and venue. 16. Complete and Final Agreement. This Agreement constitutes the complete and final agreement between the parties with respect to its subject matter and supersedes all prior oral or written understandings or statements. Terms and conditions on any Customer order form are expressly rejected and shall have no effect notwithstanding LanguageLine' acceptance or use of any such form. Rev.
